These Terms & Conditions (“Terms”) govern your access to and use of the BWITESell website, mobile application, products, and services.

By creating an account, accessing, or using BWITESell, you agree to these Terms.

If you do not agree with these Terms, please do not use BWITESell.

1. About BWITESell

BWITESell provides digital business and commerce-related services that may enable users and businesses to manage products, customers, orders, sales, transactions, and related business activities.

2. Eligibility

You are responsible for information you enter into BWITESell, including:

Supplier information;
Orders;
Invoices;
Transactions; and
Other business records.

You are responsible for ensuring that information entered into the platform is accurate and lawful.

6. Customer and Third-Party Information

If you enter information about customers, employees, suppliers, or other third parties, you are responsible for ensuring that you have the appropriate authority and lawful basis to process that information.

You must not use BWITESell to unlawfully collect or process personal information.

7. Products and Transactions

Where BWITESell provides product, sales, order, or transaction management functionality, BWITESell may act as a technology platform facilitating such activities.

Unless expressly stated otherwise, BWITESell does not guarantee the quality, availability, legality, authenticity, pricing, delivery, or suitability of products or services offered by third parties.

The parties responsible for a particular transaction remain responsible for fulfilling their applicable obligations.

8. Payments

Certain BWITESell services may support payments through third-party payment providers.

Payment processing may be subject to additional terms imposed by the applicable payment provider.

BWITESell may receive transaction information necessary to confirm or reconcile payments.

Users should review the relevant payment provider’s terms and privacy policy where applicable.

Where fees apply, the applicable pricing will be communicated before the relevant paid service is used or purchased.

Continued use of BWITESell after applicable changes may constitute acceptance of the updated service and Terms.

The BWITESell name, branding, logos, software, website design, application, documentation, content, and other materials owned by BWITESell are protected by applicable intellectual-property laws.

Except where expressly permitted, you may not:

Distribute;
Sell;
Lease;
Reverse engineer;
Decompile;
Republish; or
Create derivative works from

BWITESell’s proprietary software or materials.

You retain ownership of information and content that you lawfully submit to BWITESell, subject to the rights necessary for BWITESell to provide its services.

13. User Content

You are responsible for content and information you submit through BWITESell.

By submitting information necessary for the operation of the service, you grant BWITESell the limited rights necessary to store, process, transmit, display, and otherwise use that information for the purpose of providing the requested services.

You represent that you have the necessary rights and authorization to submit such content.

14. Third-Party Services

BWITESell may integrate with third-party services.

Third-party services may operate under their own:

Terms and conditions;
Privacy policies;
Fees;
Availability requirements; and
Service limitations.

BWITESell is not responsible for third-party services that it does not control.

15. Security

Users must not attempt to compromise the security or integrity of BWITESell.

This includes attempting to:

Gain unauthorized access;
Circumvent authentication;
Scan or attack systems without authorization;
Introduce malicious software;
Exploit vulnerabilities unlawfully; or
Interfere with another user’s account or data.

Security vulnerabilities should be reported responsibly to BWITESell.

Fraudulent activity is suspected;

The account is used unlawfully;
Payment obligations are not met where applicable;

Users may stop using BWITESell at any time.

Account termination does not automatically eliminate information that BWITESell is legally required or legitimately permitted to retain.

BWITESell is provided on an “as available” basis.

To the extent permitted by applicable law, BWITESell does not guarantee that the service will always be uninterrupted, completely secure, or free from errors.

Information provided through BWITESell should not automatically be considered professional legal, financial, tax, investment, accounting, or other professional advice unless expressly identified as such and provided by an appropriately qualified professional.

18. Limitation of Liability

To the maximum extent permitted by applicable law, BWITESell will not be liable for indirect, incidental, special, consequential, or punitive losses arising from your use of the service.

This may include losses relating to:

Loss of profits;
Loss of business opportunities;
Loss of data;
Business interruption;
Network failures;
Third-party services; or
Unauthorized access resulting from circumstances outside BWITESell’s reasonable control.

Nothing in these Terms excludes liability that cannot legally be excluded or limited under applicable law.

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless BWITESell and its officers, employees, contractors, and service providers from claims, losses, liabilities, costs, or expenses arising from:

Your unlawful use of BWITESell;

Your violation of applicable laws or regulations.

Your use of BWITESell is also subject to our Privacy Policy and Data Privacy & Protection Policy.

By using BWITESell or communicating with us electronically, you consent to receiving electronic communications relating to your account, transactions, services, security, and other matters necessary to operate the platform.

The BWITESell website;

Account notifications; or

23. Governing Law

These Terms shall be interpreted in accordance with the applicable laws of the Republic of Rwanda, unless mandatory applicable law requires otherwise.

Any dispute shall be handled through the competent dispute-resolution mechanisms and courts applicable under the laws of Rwanda.

24. Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.

25. Entire Agreement

These Terms, together with the Privacy Policy, Data Privacy & Protection Policy, and any applicable service-specific terms, constitute the agreement governing your use of BWITESell unless otherwise expressly stated.
